1. Acceptance of Terms

Welcome to BooxDay. By downloading, installing, or using the BooxDay mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

2. Description of Service

BooxDay is a calendar and planning application designed specifically for Onyx Boox e-ink tablets. The App provides:

  • Handwritten memo and task management
  • AI-powered features including handwriting recognition, voice input, and task parsing
  • Optional Google Calendar synchronization
  • Local data storage on your device
  • Optional cloud backup via Google Drive
  • Integration with Boox Notes

3. Distribution and Pricing

3.1 Google Play Store

BooxDay is, or will be, distributed through the Google Play Store. By downloading the App, you also agree to Google Play's Terms of Service.

3.2 Pricing Model

The App may be offered as:

  • A free application
  • A paid application requiring a one-time purchase
  • A subscription-based application requiring recurring payments
  • A freemium model with in-app purchases

We reserve the right to change the pricing model at any time. Existing users who have paid for the App will retain access according to their purchase terms, but new features may require additional payment or subscription.

3.3 Refunds

Refund requests are handled according to Google Play Store policies. We do not process refunds directly.

4. No Affiliation with Onyx

IMPORTANT: BooxDay and its developer are not affiliated with, endorsed by, or sponsored by Onyx International Inc. or any of its subsidiaries. BooxDay is an independent third-party application that is designed to work on Onyx Boox devices but is not an official Onyx product.

All trademarks, service marks, and trade names referenced in this App are the property of their respective owners. Use of the Onyx Boox name is purely descriptive to indicate device compatibility.

5. Eligibility

You must be at least 13 years old to use the App. By using the App, you represent and warrant that you meet this age requirement.

6. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App for personal, non-commercial purposes on Onyx Boox devices you own or control.

7. User Accounts and Authentication

BooxDay operates in Private Mode by default and does not require a user account. If you choose to enable Google Calendar sync or Google Drive backup, you will authenticate using your Google account. We do not create or store separate user accounts or passwords.

8. Your Data

8.1 Local Storage

Your handwritten notes, memos, and personal data are stored locally on your device in the external storage directory /Documents/booxdaydb/. This data remains on your device and is not transmitted to our servers unless you explicitly enable sync or backup features.

8.2 Google Calendar Sync (Optional)

If you enable Google Calendar synchronization:

  • Event titles, times, locations, and structured data will sync to your Google Calendar
  • Handwritten strokes and memos remain local and are never synced
  • You can disable sync at any time in the App settings

8.3 Google Drive Backup (Optional)

If you enable Google Drive backup, your local database will be backed up to your personal Google Drive account. You control this data and can delete it at any time.

8.4 Analytics Data

The App collects minimal analytics data including:

  • Installation ID (unique per app installation)
  • Device model and manufacturer
  • Android version
  • App version
  • Country, language, and timezone (from device locale)
  • IP address (for geo-location)

This data is used solely for analytics, debugging, and improving the App. It is not sold or shared with third parties.

9. AI Features

9.1 AI Processing

BooxDay uses AI features powered by OpenRouter API, which routes requests to various language models including Google Gemini and open-source models. When you use AI features:

  • Handwriting recognition sends OCR text (not images) to AI models
  • Voice input sends audio transcriptions to AI models
  • Task parsing sends text content to AI models
  • Your handwritten strokes are never sent to AI services

9.2 AI Limitations

AI features are provided "as is" and may produce inaccurate, incomplete, or inappropriate results. You are solely responsible for reviewing and verifying all AI-generated content before relying on it.

9.3 Disabling AI

All AI features can be disabled in the App settings. The App remains fully functional without AI features.

9.4 SemanticGenius and Semantic Data Processing

BY USING AI FEATURES, YOU CONSENT TO THE FOLLOWING:

BooxDay's SemanticGenius module runs on your device to analyze your content and extract semantic meaning, including:

  • Keywords and topics from your memos, tasks, and events
  • Entity references (people, places, projects mentioned)
  • Patterns and associations between items
  • Intent classifications (action items, deadlines, follow-ups)

When you use AI-powered features (Smart Suggestions, Plan My Day, Weekly Insights), this extracted semantic data—not your raw content—is transmitted to third-party AI providers via encrypted connections (TLS 1.2+).

You acknowledge that:

  1. Semantic summaries (keywords, patterns, associations) will be sent to AI providers including Google, OpenAI, Amazon, and others via OpenRouter
  2. Your raw content (full memo text, complete task descriptions, original handwriting) is NOT sent
  3. SemanticGenius extraction happens entirely on your device
  4. AI-generated suggestions may be inaccurate or inappropriate
  5. You are responsible for decisions based on AI recommendations

TO OPT OUT: Disable AI Features in Settings → AI Assistant. SemanticGenius will continue to run locally for search and organization, but no data will be sent to AI providers.

9.5 Disclaimer of AI Accuracy

AI FEATURES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. Suggestions generated from your semantic data may:

  • Produce incorrect or irrelevant recommendations
  • Miss important connections or priorities
  • Misinterpret extracted patterns

Always verify AI-generated content before acting on it.

10. Acceptable Use

You agree not to:

  • Use the App for any unlawful purpose
  • Attempt to reverse engineer, decompile, or disassemble the App
  • Remove or modify any proprietary notices or labels
  • Use the App in any way that could damage, disable, or impair our servers or networks
  • Attempt to gain unauthorized access to any systems or networks
  • Use automated systems to access the App in a manner that sends more requests than a human could reasonably produce

11. Intellectual Property and Source Code

11.1 Proprietary Rights

The App, including its code, design, graphics, and content, is owned by us and protected by copyright, trademark, and other intellectual property laws. You retain all rights to the content you create using the App.

11.2 No Obligation to Provide Source Code

The App is proprietary software. We are under no obligation to provide, publish, or make available the source code of the App. The App is not open-source software, and no license or right to access the source code is granted under these Terms.

12. Development and Maintenance

12.1 No Obligation to Continue Development

We are under no obligation to continue developing, maintaining, updating, or supporting the App. Development and maintenance of the App are provided at our sole discretion.

12.2 Updates and Bug Fixes

While we may release updates, new features, or bug fixes from time to time, we make no commitment or guarantee to do so. You acknowledge that:

  • Updates may be delayed or never released
  • Bugs may remain unaddressed
  • Feature requests may not be implemented
  • Support may be limited or unavailable

12.3 Service Discontinuation

We reserve the right to discontinue, suspend, or terminate the App at any time, for any reason, without prior notice. This includes but is not limited to:

  • Removing the App from the Google Play Store
  • Discontinuing backend services or API access
  • Ceasing all development and support
  • Shutting down servers that provide AI features or analytics

In the event of discontinuation, your local data will remain on your device, but cloud-dependent features (AI, analytics) may cease to function.

13. Third-Party Services

The App integrates with third-party services including:

  • Google Calendar: Subject to Google's Terms of Service
  • Google Drive: Subject to Google's Terms of Service
  • OpenRouter: Subject to OpenRouter's Terms of Service
  • Onyx Boox SDK: Subject to Onyx's Terms of Service

We are not responsible for the availability, functionality, or terms of these third-party services. These services may change, be discontinued, or become unavailable at any time.

14. Updates and Changes to Terms

We may update the App from time to time to add features, fix bugs, or improve performance. We may also modify these Terms at any time. Continued use of the App after changes constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

15. Termination

You may stop using the App at any time by uninstalling it from your device. We reserve the right to suspend or terminate your access to the App, or discontinue the App entirely, if you violate these Terms or for any other reason at our sole discretion.

16. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The App will be uninterrupted, secure, or error-free
  • Defects will be corrected
  • The App is free of viruses or other harmful components
  • AI features will be accurate or reliable
  • The App will continue to be available or supported
  • Updates or new features will be released

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the App
  • Any unauthorized access to or use of your data
  • Any bugs, viruses, or errors in the App
  • Any content obtained from the App
  • Any AI-generated content or suggestions
  • The discontinuation or unavailability of the App or any features
  • Changes to pricing, features, or functionality

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

18. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the App or violation of these Terms.

19. Data Portability and Deletion

You can export your data at any time using the App's built-in export features (PDF, PNG, JPEG, Xournal++). To delete all your data:

  • Uninstall the App
  • Delete the /Documents/booxdaydb/ folder from your device
  • Disconnect Google Calendar sync (if enabled)
  • Delete backups from your Google Drive (if applicable)

20. Children's Privacy

The App is not intended for children under 13. We do not knowingly collect personal information from children under 13. If you are a parent or guardian and believe your child has provided us with personal information, please contact us.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the App shall be resolved in the courts located in the United States.

22. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

23. Entire Agreement

These Terms constitute the entire agreement between you and us regarding the App and supersede any prior agreements.
